General Terms and Conditions – MediQuip
1. Definitions
Company: MediQuip, established in Kortgene, The Netherlands, registered with the Chamber of Commerce under number 22052855.
Customer: Any natural or legal person acting in the course of business.
Products: Machines, installations, equipment, components, and related goods supplied by the Company.
Custom Equipment: Products or services developed or modified wholly or partially according to Customer specifications.
Agreement: Any agreement concluded between the Company and the Customer.
2. Applicability
- These terms apply to all offers, quotations, agreements, and deliveries, both domestic and international.
- Any terms and conditions of the Customer are expressly excluded.
- Deviations are only valid if agreed in writing.
3. Offers and Formation of the Agreement
- All offers and quotations are non-binding unless expressly stated otherwise.
- Offers for custom equipment are based on information provided by the Customer; the Customer guarantees its accuracy and completeness.
- An agreement is concluded upon written confirmation by the Company or upon commencement of performance.
4. Custom Equipment and Specifications
- Specifications, tolerances, and performance criteria are binding only if agreed in writing.
- Design drawings, prototypes, and test results are indicative and may differ from the final product.
- Minor deviations do not constitute a defect or non-conformity.
- Changes requested after order confirmation may result in additional costs and revised delivery times.
5. Delivery, Risk and Incoterms
- Delivery shall take place in accordance with the agreed Incoterms® (latest edition).
- If no Incoterm is agreed, delivery shall be EXW (Ex Works).
- The risk of loss or damage transfers to the Customer in accordance with the applicable Incoterm.
- Delivery dates are indicative and not strict deadlines.
6. Installation, Commissioning and Acceptance
- If installation or commissioning is agreed, acceptance occurs after successful testing or commissioning.
- Minor outstanding items do not prevent acceptance.
- If installation is carried out by the Customer or third parties, the Company accepts no liability for resulting issues.
- The Customer is responsible for providing a suitable environment, utilities, and compliance with local regulations.
7. Prices and Payment
- All prices are exclusive of VAT, import duties, local taxes, and additional costs unless stated otherwise.
- The Company may require advance payments for high-value machines.
- Invoices must be paid within [payment term] days of invoice date.
- Late payment results in statutory commercial interest and collection costs.
8. Warranty
- The Company warrants that Products conform to agreed specifications.
- The warranty covers manufacturing and material defects only.
- The warranty is void in case of misuse, unauthorized modifications, insufficient maintenance, or use outside specifications.
- The warranty does not cover consequential or indirect damage.
9. Liability (Limitation)
- The Company is liable only for direct damage resulting from intent or gross negligence.
- Liability is limited to the lower of:
- the invoice value of the relevant delivery, or
- the amount paid out under the Company’s insurance.
- The Company shall never be liable for indirect damage, loss of production, loss of data, loss of profit, or business interruption.
- The Customer indemnifies the Company against third-party claims.
10. Use and Regulatory Compliance
- Products are intended for professional use only.
- The Customer is responsible for compliance with all applicable local laws, regulations, permits, and certifications.
- The Company does not guarantee compliance with foreign regulations unless expressly agreed in writing.
11. Intellectual Property
- All intellectual property rights remain with the Company unless agreed otherwise in writing.
- The Customer receives a non-exclusive, non-transferable right of use.
- Designs, software, and documentation may not be copied or disclosed without prior written consent.
12. Force Majeure
- The Company is not liable for failure to perform due to force majeure.
- Force majeure includes supply chain disruptions, transport restrictions, government measures, and international trade limitations.
- Obligations are suspended for the duration of the force majeure event.
13. Governing Law and Disputes
- All agreements are governed by the laws of the Netherlands.
- The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
- Disputes shall be submitted to the competent court in the Netherlands.
